Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by Red Tamilla Accounting ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Description of Services

Red Tamilla Accounting provides professional accounting services including but not limited to:

  • Tax preparation and filing services
  • Bookkeeping and financial record maintenance
  • Business consulting and financial advisory
  • Payroll processing and management
  • Financial planning and analysis
  • Audit and assurance services
  • Compliance consulting

3. Professional Standards

Our services are provided in accordance with:

  • Canadian Generally Accepted Accounting Principles (GAAP)
  • International Financial Reporting Standards (IFRS) where applicable
  • Canadian Auditing Standards (CAS)
  • Professional standards set by CPA Canada
  • Applicable federal and provincial regulations

4. Client Responsibilities

As our client, you agree to:

  • Provide accurate, complete, and timely information
  • Maintain proper books and records
  • Cooperate fully with our requests for information
  • Pay fees according to the agreed schedule
  • Inform us of any changes that may affect our services
  • Review and approve documents before submission
  • Comply with applicable laws and regulations

5. Fees and Payment

Fee Structure

Our fees are based on:

  • Complexity and scope of services required
  • Time required to complete the work
  • Professional experience and expertise involved
  • Market rates for similar services

Payment Terms

Payment terms include:

  • Invoices are due within 30 days of issuance
  • Late payments may incur interest charges at 1.5% per month
  • Retainer fees may be required for certain engagements
  • All fees are subject to applicable taxes

6. Confidentiality

We maintain strict confidentiality regarding all client information in accordance with professional standards and applicable laws. We will not disclose confidential information except:

  • With your written consent
  • As required by law or regulation
  • In response to court orders or legal proceedings
  • To professional regulatory bodies as required
  • For quality control or peer review purposes

7. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the fees paid for the specific service
  • We are not liable for consequential, indirect, or punitive damages
  • We are not responsible for penalties or interest resulting from late filings due to client delays
  • Our liability expires two years after completion of services
  • We maintain professional liability insurance as required

8. Intellectual Property

All methodologies, templates, and proprietary tools used in providing our services remain our intellectual property. Clients receive a license to use deliverables for their intended business purposes only.

9. Termination

Termination by Client

You may terminate our services at any time with written notice. You remain responsible for fees incurred up to the termination date.

Termination by Company

We may terminate services if:

  • Fees remain unpaid after 60 days
  • You fail to provide necessary information
  • A conflict of interest arises
  • Professional standards require termination
  • Illegal activities are suspected

10. Document Retention

We retain client files and documents according to professional standards and legal requirements. Generally:

  • Tax files are retained for 7 years
  • Audit files are retained for 10 years
  • Other files are retained for 5 years minimum
  • Electronic records are maintained with appropriate backups

11. Professional Independence

We maintain independence in accordance with professional standards. We will disclose any potential conflicts of interest and obtain your consent before proceeding with engagements where conflicts may exist.

12. Technology and Security

We employ reasonable security measures to protect client data. However, no system is completely secure. You acknowledge the inherent risks in electronic communication and data storage.

13. Compliance with Laws

Our services are provided in compliance with all applicable Canadian laws and regulations. Clients are responsible for compliance with laws in other jurisdictions where they operate.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be:

  • First addressed through good faith negotiation
  • If unresolved, submitted to mediation
  • As a last resort, resolved through binding arbitration
  • Subject to the jurisdiction of Ontario courts

15. Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, or technology failures.

16. Modifications

We may modify these Terms with written notice. Continued use of our services after notification constitutes acceptance of the modified Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with any engagement letters or service agreements, constitute the entire agreement between the parties and supersede all prior understandings.

19. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
